General Terms and Conditions of Sale (GTC)

Learn French and Travel With Lily – Lynda Ait Djoudi Oufella

1. Purpose and Scope

These General Terms and Conditions of Sale (hereinafter “GTC”) define the conditions under which any natural person or legal entity (hereinafter “the Learner”, “the User”, or “the Client”) orders service provisions sold by the company Learn French and Travel With Lily – Lynda Ait Djoudi Oufella (hereinafter “LFTwL”), within the framework of a remote sales system via Internet and mobile, for the language training services defined on the websites learnfrenchwithlily.fr (hereinafter “the Site”).

These services are offered via the Site, the appointment scheduling platform Calendly, and the messaging application WhatsApp.

By validating an order and proceeding with payment, the User implies full, complete, and unreserved acceptance of these GTC, which shall be the sole conditions applicable to the contract. LFTwL reserves the right to modify these GTC, in whole or in part and at any time. The applicable GTC are those in force on the day the payment of the service is validated.

2. Nature of Services and Products

The services offered to the User are those listed on the Site, subject to the availability of the trainer and definitive validation by LFTwL. They notably include:

Group programs and courses (thematic modules of varying duration).

Intensive summer courses (2-week sessions).

Private lessons in “Solo” or “Duo” formulas (only available upon request and in the form of packages).

3. Registration, Booking, and Operation Process

3.1. Step 1: The Free Orientation Appointment (Calendly)

To define their educational project, the User is invited to book a free 30-minute online appointment on the Site. This booking is made via the Calendly platform, which is used as the booking provider. This exchange allows for an assessment of the Learner’s needs and a verification of their language level. The free service can only be used once per User. Any attempt to circumvent this rule (such as creating fake accounts) may lead LFTwL to refuse access to the services.

3.2. Step 2: Validation and Payment (WhatsApp and Stripe)

  1. Additional Exchanges: After the orientation appointment or initial contact, exchanges continue and are validated directly via the WhatsApp messaging application.

  2. Sending the Link: Once the project is validated and the level group or program is chosen, LFTwL manually sends the User a personalized payment link via the secure Stripe platform.

  3. Confirmation: By clicking on the link and proceeding with payment, the User acknowledges having full legal capacity to enter into an agreement and declares acceptance without reservation of these GTC. The order is only definitive after confirmation by email from LFTwL, which sends the connection access (Zoom) and follow-up documents.

3.3. Operation of Group Courses (Level Groups)

Standard Format and Pace: Group course sessions bring together learners by level (maximum 6 participants), at a rate of 1 to 2 times per week. The duration of each standard session is 1 hour 30 minutes.

School Closure: LFTwL freely sets the closure periods of the school (school holidays or other periods determined by the trainer). The course schedule is adapted according to these dates and communicated to learners in advance. No sessions are scheduled during these closure periods.

Group Flexibility and Homogeneity: In order to guarantee optimal educational progress and to preserve the interest of each participant, LFTwL reserves the right to reassign a learner to another group along the way if it is found that their level increases or proves to be unsuited to the rest of the group. Depending on the Learner’s needs observed during the orientation meeting or at the start of the course, LFTwL also reserves the right to offer or condition access to a group class upon a prior refresher course in an individual (Solo) or semi-private (Duo) format.

Quorum Rule and Maintenance of Courses: LFTwL undertakes not to cancel any course due to a lack of participants. If the group consists of fewer than 3 people at the time of the session, the course is automatically maintained and adapted:

From 3 participants: The course lasts 1 hour 30 minutes.

For 1 or 2 participants: The session turns into a reduced course (Solo or Duo) and its duration is adjusted to 1 hour.

Integration Along the Way: Learners can join an already launched group course at any time. Programs are designed in such a way that each week covers an independent theme or integrates reviews of previous courses.

3.4. Specific Rules for Summer Courses (2 weeks)

Access to intensive or semi intensive summer courses is possible only after full payment for the training. The entire price of the course must be paid before the first day of classes. If the learner has paid a first installment but a subsequent payment is refused or not made, the courses will be canceled. No refund of the first installment paid will be granted.

3.5. Special “Solo” and “Duo” Services (Packages and Tailored Solutions)

Private or semi-private lessons (in pairs) are available exclusively upon request. The standard format is offered as a 10-hour package, but custom solutions adapted on a case-by-case basis may be mutually agreed upon between LFTwL and the Client during preliminary discussions.

Scheduling: Only the first hour of the package course is scheduled during the initial registration. The remaining hours must be scheduled directly with the trainer via message or email.

Validity: The 10-hour packages have a strict validity period of 6 months from the date of purchase (the booking date of the first hour). Past this deadline, unbooked hours will be lost, and the User will not be able to claim any refund or credit. A package that has begun will not be refunded, either in whole or in part.

4. Absence, Replay, and Cancellation Policy

4.1. For Group Courses and Summer Courses

Any registration for a group program or a summer course is firm and final. In the event of a learner’s absence from one or more sessions, no refund, credit note, or course postponement will be granted, regardless of the reason.

To offset absences and guarantee educational continuity:

All online group courses are recorded.

The absent learner benefits from an exclusive right of access to the Replay of the missed session.

The learner retains access to notes, corrections, and course materials shared on the Google Sheet document dedicated to their group.

4.2. For 10-Hour Packages (Solo / Duo)

48-Hour Rule and Weekly Postponement: Any request to postpone or cancel an individual lesson hour must be made by message or email to LFTwL at least 48 hours before the scheduled time.

If this 48-hour notice is respected, the hour can be rescheduled, imperatively within the same week, according to the trainer’s availability. The minimum pace of at least 1 course hour per week must be maintained so as not to delay the educational program.

If the 48-hour notice period is not respected (late cancellation or absence from the course), or if no replacement slot is found within the same week, the hour is considered due and is definitively deducted from the package without the right to a replacement credit.

Any delay greater than 15 minutes relative to the scheduled start time will be considered a non-attendance (“no-show”) and will result in the cancellation of the service without any right to a refund or credit.

4.3. Penalty for Lack of Attendance and Punctuality

LFTwL attaches paramount importance to the attendance and punctuality of Learners in order to guarantee a coherent pedagogical progression and to preserve group dynamics. Consequently, in the event of repeated unexcused absences or cumulative lateness during sessions (group or individual) that slow down the pace of the classes and penalize other participants, LFTwL reserves the right to permanently expel the User. This expulsion, pronounced due to the Learner’s fault, will not entitle them to any refund, compensation, or replacement credit, and the sums initially paid or committed shall remain definitively acquired by LFTwL

5. Prices and Payment Terms

5.1. Rates

Prices for services are indicated in Euros and are inclusive of all taxes (TTC). The included VAT is the French VAT applicable on the day of the order. If the VAT rate is modified, these changes could be reflected in the price of the services without the User being previously informed. However, prices cannot be modified once the booking is confirmed. The applicable rates are those communicated during the WhatsApp exchange preceding the sending of the Stripe link.

5.2. Payment Methods and Installments

Payment for services is made by bank card (CB, VISA, MASTERCARD) online via the secure payment system of the provider Stripe, in accordance with its own general terms and conditions, which the User is deemed to have accepted. Payment validation is immediate.

To be registered, the booking must be paid for in its entirety (or according to the agreed installment plan).

Payment in Installments: LFTwL offers the possibility to pay for support programs in 2 or 3 installments. The Client is informed that choosing installment payments incurs a slight increase in the total cost of the training compared to cash payment, in order to cover the technical management fees of the platform.

5.3. Payment Default and Cancellation of Courses

For all services (coaching programs and packages), if installment payment is chosen, compliance with the deadlines is mandatory. If a payment is refused or not settled by the due date, the subsequent course sessions are automatically canceled as of right by LFTwL. Sums already paid remain definitively acquired by LFTwL and will not give rise to any refund.

6. Right of Withdrawal

6.1. Absence of Right of Withdrawal for Fixed-Date Services

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for the provision of leisure or training services to be provided on a specific date or according to a specific periodicity. Consequently, registrations for group programs, thematic workshops, and summer courses, whose schedules are fixed, do not benefit from any right of withdrawal after payment. Furthermore, the right of withdrawal does not apply to services fully executed before the end of the 14-day period or whose execution began with the express agreement of the User. An unjustified absence of the User does not constitute non-execution attributable to LFTwL.

6.2. Other Bookings (Unstarted Solo/Duo Packages)

For other bookings (hours packages), the User has a period of fourteen (14) days from the date of purchase to exercise their right of withdrawal with LFTwL, without having to justify reasons or pay penalties, for the purpose of exchange, refund, or credit. If this period expires on a Saturday, a Sunday, or a public holiday, it is extended until the next working day. The right of withdrawal can be exercised by email at contact@learnfrenchwithlily.fr. The execution of a first hour of course at the request of the User before the end of the 14 days constitutes an express waiver of the right of withdrawal for the initiated package.

7. Availability of Services and Exclusion

Services are offered within the limits of the trainer’s availability. LFTwL reserves the right, at any time:

To cancel, suspend, or modify a booking. In the event of cancellation by LFTwL, a new replacement slot will be proposed by any means, without this automatically giving right to a refund.

LFTwL reserves the right to definitively exclude a User from a group without any refund or to interrupt a package in the event of misconduct, abusive or inappropriate behavior, disrespectful remarks towards the trainer or other participants, or repeated disruptions affecting the smooth running of the courses.

LFTwL also reserves the right to permanently expel a User, without any refund, in the event of repeated absences or systematic and cumulative lateness, whether in the context of group or individual lessons. Indeed, as attendance and punctuality are essential to the teaching dynamic, repeated failures seriously hinder the Learner’s progress and penalize the smooth running of the lessons for the rest of the group. In the event of permanent expulsion for this reason, no amount already paid will be refunded, and the entirety of the package or program will remain due.

8. Performance of the Service and Liability

It is the responsibility of the User to note the slot(s) they book (via the Calendly invitation for the assessment, or directly with LFTwL for the courses) as well as the associated Zoom connection codes. The User receives an automated reminder email from Calendly 24 hours before the initial orientation appointment. LFTwL cannot be held responsible if a session is forgotten by the User.

On the day of execution, it is the responsibility of the User to ensure that they have a sufficient internet connection and adequate computer equipment (PC, microphone, camera). LFTwL disclaims all liability in the event of technical difficulties or bandwidth problems attributable to the User’s network, as this type of incident does not open any right to a refund or credit.

LFTwL is bound by an obligation of means regarding the services offered. Except in the case of gross negligence or willful misconduct, LFTwL’s liability is strictly limited to direct and material damages resulting from the execution of the services, within the limit of the total price of the services paid by the concerned User during the last calendar year.

9. Complaints

The User may submit complaints by sending an email to contact@learnfrenchwithlily.fr.

10. Intellectual Property

All elements of the Site (photographs, illustrations, descriptions, logos, trademarks) as well as all educational materials, documents, exercises, video recordings, and content shared on Google Sheet or by any other means remain the exclusive intellectual property of LFTwL. Any reproduction, representation, exploitation, redistribution, or use, even partial, of these elements without the express prior authorization of LFTwL is strictly prohibited and may be subject to prosecution.

11. Protection of Personal Data

By ordering, the User consents to the use of their nominative and personal data by LFTwL. LFTwL undertakes not to disclose the information provided by the User to third parties. This information is strictly confidential and is only used for processing the order and for educational follow-up.

In accordance with the French “Informatique et Libertés” law of January 6, 1978, as amended, and the GDPR, the User benefits from a right of access, rectification, portability, and deletion of data concerning them by contacting LFTwL at contact@learnfrenchwithlily.fr.

12. Severability of Clauses

If any of these general terms and conditions should be declared inapplicable or invalidated for any reason by a court decision, this invalidity shall not affect the application or validity of the other provisions of the GTC. The invalidated clause will be replaced by the closest possible legal provision.

13. Force Majeure

Neither LFTwL nor the User can be held responsible for any non-performance, partial performance, or delay in the performance of any of their obligations described in these GTC that originates from a case of force majeure, as defined by Article 1218 of the French Civil Code (an event that is external, unpredictable, and irresistible).

Expressly, the following are considered as cases of force majeure or fortuitous events, in addition to those usually retained by the jurisprudence of French courts and tribunals: total or partial strikes, lock-outs, riots, civil unrest, insurrections, wars, severe weather, epidemics, blockages of transport or supply means for any reason whatsoever, earthquakes, fires, storms, floods, water damage, governmental or legal restrictions, legal or regulatory modifications to forms of commercialization, major computer breakdowns, blockages or malfunctions of telecommunications networks, any challenge to the mathematical foundations governing the theory of cryptographic algorithms used for public key infrastructures, and any other case independent of the express will of the Parties preventing the normal execution of the contract.

14. Dispute Resolution – Mediation

In the event of a dispute, the User is invited to seek an amicable solution by contacting LFTwL by email as a priority. The User has the right to recourse free of charge to conventional mediation with an approved consumer mediator in the event of an unresolved dispute. All disputes arising from these GTC (validity, interpretation, execution, termination) that could not be resolved amicably will be submitted to the competent French courts under the conditions of common law. These GTC are exclusively governed by French law.

15. Language

These General Terms and Conditions of Sale are drafted in the French language. In the event that they are translated into one or several foreign languages, only the French text shall prevail in the event of a dispute.
